Corporate Governance and Corporate Social Responsibility: How to Tackle Environmental Imperatives in Company Law?

The book first discusses the concepts of corporate governance and corporate social responsibility (CSR) and provides a new framework to deal with these issues in the context of sustainability. It then explores the requirements of "an end state of global sustainability" and subsequently moves to a detailed analysis of the current governance regime, delving into the CSR-related liabilities and incentives at stake for both corporations and their directors. It concludes with a framework suggesting that there are four normative avenues for addressing environmental and social imperatives in company law, which helps reflect on how to tackle the "potentiality for a sustainability gap" in corporate governance and CSR. The author always discusses practical realities and incentives, at both the policy and corporate levels, in addition to theoretical aspects. The thesis on which this book is based received the distinction "Summa Cum Laude" and the 2023 Law Faculty Prize from the University of Lausanne. Imperative Turns at Talk

In middle-class Anglo-speaking circles imperatives are considered impolite forms that command another to do something; etiquette manuals recommend avoiding them. The papers in this collection de-construct such lay beliefs. Through the empirical examination of everyday and institutional interaction across a range of languages, they show that imperatives are routinely used for constructing turns that further sociality in interactional situations. Moreover, they show that for understanding the use of an imperatively formatted turn, its specific design (whether it contains, e.g., an overt subject, object, modal particles, or diminutives), and its sequential and temporal positioning in verbal and embodied activities are crucial. The fact that the same type of imperative turn is appropriate under the same circumstances across linguistically diverse cultures suggests that there are common aspects of imperative turn design and common pragmatic dimensions of situations warranting their use. The volume provides new insights into the resources and processes involved when social actors try to get another to do something.

Indigenous peoples have historically gained little from large-scale resource development on their traditional lands, and have suffered from its negative impacts on their cultures, economies and societies. During recent decades indigenous groups and their allies have fought hard to change this situation: in some cases by opposing development entirely; in many others by seeking a fundamental change in the distribution of benefits and costs from resource exploitation. In doing so they have utilised a range of approaches, including efforts to win greater recognition of indigenous rights in international fora; pressure for passage of national and state or provincial legislation recognising indigenous land rights and protecting indigenous culture; litigation in national and international courts; and direct political action aimed at governments and developers, often in alliance with non-governmental organisations (NGOs). At the same time, and partly in response to these initiatives, many of the corporations that undertake large-scale resource exploitation have sought to address concerns regarding the impact of their activities on indigenous peoples by adopting what are generally referred to as "corporate social responsibility" (CSR) policies. This book focuses on such corporate initiatives. It does not treat them in isolation, recognising that their adoption and impact is contextual, and is related both to the wider social and political framework in which they occur and to the activities and initiatives of indigenous peoples. It does not treat them uncritically, recognising that they may in some cases consist of little more than exercises in public relations.
